If you go with the Downpipes with Race Cats, you should still pass smog and you shouldn't get a check engine light. Regardless, you'll need a tune to ensure these work correctly.
As far as the warranty goes, BMW has to prove that the downpipes caused the malfunction in order to deny a warranty claim. That being said, certain dealerships are more mod friendly than others.
