I wouldn't keep it

Value on BMWs drop off the cliff after 100k and chances for catastrophic failure is very high. If it looks and runs great could still get some good money and buy a another 2-3 year old and call it a day.

I've been driving 5 series for 20 years (530,545, 550, M5e60 & now 535iXDrF10) We drive these cars because they are fantastic but in my experience not a high mileage car. Especially in warmer climates. Add to the fact their all turbos now make me more nervous. I drive high miles and noticed each BMW owned started having big issues around the 90K mark. Except M5 which I totaled at 68k(yes,my fault) My current 535 has 87k on it. Still running strong but maintenance has started to climb hard in the last 10k miles. First the typical stuff you can fix with youtube and some tools in a garage (Starter, battery, manifold gasket replacement, windshield cowling, spark plugs, brakes, plus reg maintenance) recently much more serious and expensive things like Tensioner belt and pulley replacement ($700), and now oil pan gasket ($3,000) need to pull engine out for replace oil pan???WTH..
So my opinion is, if the car is paid off, you are a skilled mechanic with a tooled out garage with a hydraulic lift, lots of spare time and $$ plus only using the car for short distances then I would say keep it. If ALL of those factor do not apply sell that beautiful car and find a newer one and take the payment. There's nothing more aggravating than waking up one day and cutting a check for $6,000 to repair a car worth $10,000

if you still have the ext.War. you can get $$ for it. You can find a 3yr old 535 with low miles for 25k. Sell the 2011 for 17k. put down on new car and only have a 13k loan. payment will be $275. Your maintenance on the 2011 annually will be more, possibly even double
